1. Introduction

These Terms and Conditions ("Terms") govern the use of LinkScale (the "Service," "we," "us," or "our"). By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree, you must immediately cease use of the Service.

2. Nature of the Service

  • The Service provides tools for creating landing pages, redirect links, and analytics.
  • We act solely as a technical intermediary.
  • We do not create, edit, or endorse user content, nor do we control how links are shared externally by users.

3. User Responsibility

You agree that you are fully and exclusively responsible for:

  • All content, websites, files, and resources you host, link, or redirect traffic to.
  • The accuracy, legality, and compliance of such content with all applicable laws and regulations.
  • The consequences of distributing, promoting, or redirecting to third-party material.

You acknowledge that LinkScale has no obligation to monitor your use but reserves the right to investigate suspected violations.

4. Monitoring, Enforcement & Content Responsibility

4.1 Monitoring of Links and Landing Pages

  • We reserve the right, but not the obligation, to monitor, review, and investigate links, landing pages, and redirections created through the Service.
  • Monitoring may be carried out using automated tools, manual checks, or third-party resources.
  • We do not guarantee comprehensive or continuous monitoring, and the absence of intervention does not imply approval of any particular content.

4.2 Illegal Content and Activities

  • Users are strictly prohibited from using the Service to host, redirect, or promote any content or activity that is illegal under applicable local, national, or international laws and regulations.
  • Any use of the Service for unlawful purposes constitutes a material breach of these Terms.

4.3 User Distribution of Links Outside the Service

  • We do not monitor, track, or control how or where links generated by users are distributed or shared outside of the Service (including but not limited to social media platforms, messaging apps, websites, or emails).
  • Users are solely and exclusively responsible for the distribution, communication, and promotion of their links outside the Service.
  • Any liability arising from the misuse of links outside the Service rests entirely with the user.

4.4 Enforcement Measures

  • We reserve the right, at our sole discretion, to suspend, restrict, or permanently terminate accounts suspected of violating these Terms or applicable law.
  • We may remove, disable, or block access to specific links or landing pages without prior notice.
  • We may preserve and disclose information to competent authorities where legally required, including in response to lawful requests, court orders, or regulatory investigations.
  • Enforcement actions may be taken regardless of whether a violation was intentional or unintentional.

4.5 Notice & Takedown Process

  • If we receive a valid complaint or legal notice regarding content linked or hosted via the Service, we may remove or disable the relevant content pending investigation.
  • Users will be notified where feasible, except where prohibited by law or where notification would interfere with law enforcement activities.
  • We may reinstate or permanently disable the content or account, at our sole discretion, following review.

4.6 Limitation of Liability (Content-Specific)

  • We are not responsible for content created or hosted by users, except to the extent required by law once notified of unlawful material.
  • We disclaim liability for damages arising from user-generated content, third-party websites, or the manner in which users share their links.

5. Indemnification

You agree to defend, indemnify, and hold harmless LinkScale, its affiliates, employees, officers, and partners from and against any and all claims, damages, liabilities, losses, costs, or expenses (including legal fees) arising from:

  • Your use or misuse of the Service.
  • Content you create, host, or redirect to.
  • Violation of these Terms or applicable law.

This obligation survives termination of your account.

6. Disclaimer of Warranties

The Service is provided strictly "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including but not limited to:

  • Merchantability, fitness for a particular purpose, or non-infringement.
  • Availability or accuracy of analytics.
  • Compliance of user content with laws or third-party rights.

You use the Service entirely at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability to you for any claim shall not exceed the total amount you paid us in the last 12 months, regardless of the cause of action.
  • We shall not be liable for indirect, incidental, punitive, or consequential damages; loss of revenue, profits, goodwill, data, or business opportunities; or content or actions of third parties.

8. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including but not limited to natural disasters, internet outages, cyberattacks, government actions, labor disputes, or acts of war.

9. Intellectual Property & Takedown

  • Users retain rights over their content.
  • By using the Service, you grant us a limited license to host, process, and transmit your content solely for providing the Service.

10. Payment & Refunds

  • Paid features and subscriptions are billed as specified during purchase.
  • All fees are non-refundable, except where required by law.
  • We may suspend or terminate unpaid accounts.

11. Termination

  • We may suspend or terminate your account, at our sole discretion, with or without cause or notice.
  • Termination does not relieve you of obligations accrued prior to termination.
  • Sections on responsibility, indemnification, disclaimers, limitations, and governing law shall survive termination.

12. Governing Law & Jurisdiction

These Terms shall be governed by the laws of France. All disputes shall be resolved exclusively before the courts of France.

13. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

14. Amendments

We may modify these Terms at any time. Updates will be posted on our website, and continued use of the Service constitutes acceptance of revised Terms.
